Terms of Service

1. Acceptance of Terms

By accessing and using Joyera's AI-powered healthcare services ("Services"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by this agreement, please do not use this service.


2. Use License

Permission is granted to access the Services for your authorized healthcare operations. This is the grant of a license, not a transfer of title. Under this license you may not:

  • Modify, copy, or create derivative works of the Services
  • Attempt to reverse engineer any software contained in the Services
  • Remove any copyright or proprietary notations from the materials
  • Transfer, sublicense, or resell access to the Services without authorization
  • Use automated tools to scrape, extract, or access the Services


3. HIPAA and FERPA Compliance

HIPAA Compliance: As a healthcare provider using our Services, you acknowledge that Joyera acts as a Business Associate under HIPAA. You must accept our Business Associate Agreement (BAA) separately to use Services involving Protected Health Information (PHI).

FERPA Compliance: Educational professionals (school psychologists, speech therapists, special education providers, school-based clinicians) acknowledge that Joyera complies with the Family Educational Rights and Privacy Act (FERPA) for the protection of student education records. Student education records receive the same security protections as PHI.

Important: We Are NOT a Designated Record Set or Legal Health Record System. Our Services are documentation assistance tools, not Electronic Health Records (EHR) or student information systems. See Section 7 for details on your record-keeping responsibilities.


4. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials and not sharing access
  • All activities that occur under your account
  • Ensuring compliance with applicable healthcare regulations (HIPAA, state laws, etc.)
  • Reviewing and verifying all AI-generated content before clinical use
  • Maintaining appropriate professional liability insurance
  • Using the Services only for lawful healthcare purposes


5. AI-Generated Content Disclaimer

Our Services utilize artificial intelligence to assist with clinical documentation and workflows. AI is an assistive tool, not a replacement for professional medical judgment. You acknowledge and agree that:

  • All AI-generated content (clinical notes, billing codes, documentation) must be reviewed and verified by a qualified healthcare professional before use
  • Joyera makes no warranties about the accuracy, completeness, or suitability of AI-generated content for any particular purpose
  • You bear sole responsibility for all clinical decisions and patient care
  • Joyera is not liable for any errors, omissions, or inaccuracies in AI-generated content
  • You will not rely solely on AI outputs without independent professional verification


6. Subscription and Payment

Subscription fees are charged in advance on a recurring basis. You agree that:

  • Pricing may change with 30 days' notice; continued use constitutes acceptance
  • Payments are non-refundable except as required by law
  • Failure to pay may result in immediate service suspension
  • You are responsible for all applicable taxes


7. Data Rights, Record Responsibilities, and NOT a Designated Record Set


Critical Acknowledgment: Joyera is NOT Your Official Record System

You acknowledge and agree that:

  • NOT a Designated Record Set: Joyera does not maintain a "Designated Record Set" as defined by HIPAA (45 CFR § 164.501). Our Services are AI-powered documentation assistance tools, not Electronic Health Records (EHR), student information systems, or legal health record systems.
  • NOT the Official Record: While we save your chat conversations and documentation as a convenience and backup feature (per plan tier), we are NOT your official medical record or student education record system. Any clinical notes, documentation, or outputs generated through our Services do NOT automatically become part of a patient's or student's legal record.
  • Your Record-Keeping Obligations: You are solely responsible for:
  • Determining what constitutes your official legal health record or educational record
  • Transferring any AI-generated documentation to your official EHR or student information system
  • Reviewing and approving all AI-generated content before it becomes part of a patient's or student's legal record
  • Maintaining compliance with applicable medical record and educational record retention laws (typically 7+ years depending on state, specialty, and record type)
  • Responding to patient/student requests for access, amendment, or accounting of disclosures from your designated record set
  • Our Retention ≠ Your Legal Retention: Our retention of chat conversations and saved documentation (7 years for paid plans, 24 hours for trial plan) is provided as a convenience, backup, and collaboration tool, but does NOT constitute or satisfy your legal record retention requirements. You must maintain your own official records in compliance with applicable laws.
  • Provider Workflow: The intended workflow is:
  • Use Joyera to generate clinical documentation or educational notes
  • Review and edit AI-generated content for accuracy
  • Approve the final documentation
  • Transfer to your official EHR or student information system
  • The record in your EHR/SIS becomes the legal record

Data Ownership and Usage Rights

You retain all rights to your data. Joyera may:

  • Use aggregated, anonymized data (not PHI or student education records) for service improvement and analytics
  • Process your data solely to provide the Services as described in our Privacy Policy and BAA
  • Retain chat conversations per your plan tier (trial: 24 hours, paid: 7 years or until deletion)
  • Maintain audit logs of PHI and student data access for 7 years for compliance purposes


Joyera will NOT use PHI or student education records for marketing, advertising, or AI model training without explicit written authorization for private cloud deployment.



Compliance with AI Provider Restrictions

Our Business Associate Agreements with AI providers (OpenAI, Anthropic, Google) explicitly prohibit the use of their services to maintain PHI as part of a Designated Record Set. By agreeing to these Terms, you acknowledge this restriction and agree that Joyera's saved chat data is for convenience and backup purposes only, not as your official medical or educational record system.


8. Beta Features

We may offer beta or experimental features. These are provided "as-is" without warranties, may be discontinued at any time, and should not be used for critical workflows without adequate backup procedures.


9. Service Availability and Force Majeure

We strive for high availability but do not guarantee uninterrupted access. We are not liable for service disruptions caused by:

  • Scheduled maintenance (with reasonable notice when possible)
  • Third-party service failures (AI providers, cloud infrastructure, etc.)
  • Events beyond our reasonable control (natural disasters, cyberattacks, etc.)


10. Indemnification

You agree to indemnify and hold harmless Joyera from any claims, damages, or expenses arising from:

  • Your use or misuse of the Services
  • Clinical decisions made using AI-generated content
  • Your violation of HIPAA or other healthcare regulations
  • Your breach of these Terms
  • Unauthorized access to your account due to failure to secure credentials


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Joyera's total liability for all claims related to the Services shall not exceed the amount you paid us in the 12 months preceding the claim. In no event shall Joyera be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Medical malpractice or patient harm arising from your use of AI-generated content
  • Costs of procurement of substitute services

Some jurisdictions do not allow limitation of liability for personal injury or certain damages, so these limitations may not apply to you.


12. Data Export and Termination

You may export your data at any time using our export tools (available formats: JSON, CSV, PDF). Upon termination:

  • You have 30 days to export your data before it is permanently deleted from active storage
  • We may terminate or suspend your access immediately for breach of Terms
  • You may cancel at any time; no refunds for partial subscription periods
  • Saved chat conversations and documentation will be retained per your plan tier (trial: 24 hours, paid: 7 years), unless you request earlier deletion
  • Audit logs (metadata only, no PHI content) will be retained for 7 years for HIPAA/FERPA compliance regardless of account status
  • After account closure, you may request deletion of saved chats at any time, subject to audit log retention requirements

Important: You should transfer all AI-generated documentation to your official EHR or student information system before canceling your account. Joyera is not responsible for your compliance with medical or educational record retention laws after account termination.


13. Acceptable Use Policy

You may not:

  • Share account credentials or allow unauthorized access
  • Use the Services for non-healthcare purposes
  • Attempt to interfere with or disrupt the Services
  • Upload malicious code, viruses, or harmful content
  • Violate any applicable laws or regulations
  • Impersonate another user or provide false information


14. Governing Law and Disputes

These Terms shall be governed by the laws of New York State, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in New York, NY, except that either party may seek injunctive relief in court for intellectual property violations.


15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes constitutes acceptance. If you do not agree to changes, you must stop using the Services and may cancel your subscription.


16. Entire Agreement

These Terms, together with our Privacy Policy and HIPAA BAA, constitute the entire agreement between you and Joyera. If any provision is found unenforceable, the remaining provisions remain in full effect.
