1. Acceptance of Terms

By accessing and using the Joyera Inc. website and its HIPAA-compliant AI platform ("Platform"), you accept and agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Platform.


2. Definitions
  • "Joyera Inc.," "Joyera," "Company," "we," "us," or "our" refers to Joyera Inc. and its affiliates
  • "User," "Customer," "you," or "your" refers to any individual, healthcare provider, or organization accessing or using the Platform
  • "AI Services" refers to our artificial intelligence-powered tools and assistants
  • "Protected Health Information" or "PHI" has the meaning set forth in 45 CFR § 160.103
  • "HIPAA" refers to the Health Insurance Portability and Accountability Act and its implementing regulations
  • "Services" refers to all AI-powered services provided through the Platform


3. Platform Services

3.1 Healthcare AI Services

Joyera provides HIPAA-compliant AI-driven services for healthcare administrative tasks, including:

  • Automated meeting and visit recording, transcription, and summarization
  • Automated billing and claims processing assistance
  • Decision support for treatment and service plans
  • Workflow optimization tools
  • Custom AI model training for healthcare-specific tasks
  • Administrative paperwork automation


3.2 HIPAA Compliance

Our Platform is designed to comply with HIPAA requirements, featuring:

  • End-to-end encryption for all data transmission and storage
  • Zero data retention policies for PHI, unless we are supporting the storage of EMRs
  • Business Associate Agreement (BAA) compliance


3.3 Service Availability

We maintain high availability standards but AI Services may occasionally be unavailable due to maintenance, updates, or technical issues.


4. Eligibility and Account Requirements

4.1 Eligible Users

The Platform is intended for:

  • Licensed healthcare providers
  • Healthcare organizations and agencies
  • Health service providers
  • Other healthcare professionals authorized to handle PHI
  • Other organizations that have heightened compliance requirements


4.2 Account Verification

You may be required to provide credentials and verification of your healthcare provider status before accessing certain AI Services.


4.3 Account Security

You agree to:

  • Maintain accurate and current account information
  • Protect your login credentials and account access
  • Implement appropriate user access controls within your organization
  • Immediately notify us of any suspected security breaches


5. Use License and Restrictions

5.1 Permitted Use

Subject to these Terms and execution of a Business Associate Agreement, we grant you a limited, non-exclusive license to use the Platform for legitimate healthcare administrative purposes.


5.2 Prohibited Uses

You may not:

  • Use the Platform for any purpose other than authorized organizational administration
  • Attempt to reverse engineer or extract our AI algorithms
  • Share access credentials with unauthorized personnel
  • Use the Platform to process PHI without proper authorization
  • Input false or misleading healthcare information
  • Use automated tools to scrape data from the Platform
  • Attempt to circumvent security measures or access controls

6. HIPAA Compliance and Data Protection

6.1 Business Associate Agreement

Use of the Platform for processing PHI requires execution of a separate Business Associate Agreement (BAA) that governs our obligations under HIPAA.


6.2 Data Security

We implement administrative, physical, and technical safeguards to protect PHI, including:

  • End-to-end encryption using industry-standard protocols
  • Secure data centers with restricted access
  • Regular security assessments and penetration testing
  • Employee training on HIPAA compliance


6.3 Data Retention and Deletion

  • We maintain a zero data retention policy for PHI
  • Data is automatically deleted according to specified timeframes
  • You may request immediate deletion of your data at any time
  • Backup data is securely destroyed according to HIPAA requirements


6.4 Breach Notification

We will notify you of any discovered breaches involving your PHI within the timeframes required by HIPAA.


7. AI Services and Healthcare Applications

7.1 AI Limitations

You acknowledge that AI Services:

  • Are administrative tools and do not provide medical advice or diagnosis
  • May require human review and validation of outputs
  • Are not intended to replace professional medical judgment
  • May have limitations in accuracy or completeness


7.2 Clinical Decision Support

Any decision support features are informational only and should not be used as the sole basis for clinical decisions without appropriate professional review.


7.3 Billing and Claims Assistance

AI-generated billing information must be reviewed for accuracy and compliance with applicable regulations before submission to payers.


8. User Content and PHI Handling

8.1 Content Standards

All information input into the Platform must:

  • Be accurate and current to your knowledge
  • Be properly authorized for processing
  • Comply with applicable healthcare regulations
  • Not contain malicious code or harmful content


8.2 PHI Authorization

You warrant that you have all necessary authorizations to process PHI through our Platform and that such processing complies with HIPAA and other applicable laws.


8.3 De-identification

We may use de-identified data (with all HIPAA identifiers removed) to improve our AI Services, subject to our Privacy Policy and BAA.


9. Subscription and Payment Terms

9.1 Service Plans

Joyera offers various subscription plans with different AI capabilities, usage limits, and support levels.


9.2 Billing

  • Subscription fees are billed in advance according to your selected plan
  • Usage-based charges may apply for certain AI Services
  • All fees are non-refundable except as specifically provided in your service agreement


9.3 Usage Limits

Your account may be subject to usage limits including:

  • Number of AI transcriptions or summaries
  • Data processing volume
  • Number of user accounts or seats
  • Storage capacity and retention periods


10. Regulatory Compliance

10.1 Healthcare Regulations

You are responsible for ensuring your use of the Platform complies with all applicable healthcare regulations, including but not limited to:

  • HIPAA and state privacy laws
  • Medicare and Medicaid requirements
  • Professional licensing requirements
  • State and federal billing regulations


10.2 Professional Responsibility

The Platform does not replace your professional obligations or responsibilities as a healthcare provider.


11. Service Level and Support

11.1 Availability

We target 99.9% uptime for the Platform, excluding scheduled maintenance periods.


11.2 Support

Support is provided according to your subscription level and may include:

  • Technical support for Platform issues
  • Training and onboarding assistance
  • Custom AI model development
  • Integration support


11.3 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice.


12. Intellectual Property

12.1 Platform Ownership

Joyera retains all rights to the Platform, AI technology, algorithms, and related intellectual property.

12.2 Customer Data

You retain ownership of your data and PHI. We claim no ownership rights to your healthcare information.

12.3 AI Improvements

We may use aggregated, de-identified usage data to improve our AI Services and develop new features.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOYERA'S LIABILITY IS LIMITED AS FOLLOWS:


13.1 Excluded Damages

We shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss (beyond our backup obligations)
  • Regulatory fines or penalties
  • Claims related to clinical decisions made using Platform outputs


13.2 Liability Cap

Our total liability for any claims shall not exceed the fees paid by you in the 12 months preceding the claim.


13.3 Healthcare Decisions

We are not responsible for healthcare decisions made using information processed through the Platform.


14. Indemnification

You agree to indemnify Joyera against claims arising from:

  • Your violation of these Terms or applicable laws
  • Your misuse of the Platform or AI Services
  • Your failure to obtain proper authorizations for PHI processing
  • Clinical decisions made using Platform-generated information


15. Termination

15.1 Termination by Customer

You may terminate your account with 30 days' written notice. Data deletion will occur according to your BAA requirements.


15.2 Termination by Joyera

We may terminate your account for:

  • Violation of these Terms or your BAA
  • Non-payment of fees
  • Regulatory compliance violations
  • Misuse of AI Services or security breaches


15.3 Effect of Termination

Upon termination:

  • Access to AI Services will cease
  • Data will be securely deleted according to agreed timeframes
  • You remain responsible for any outstanding fees
  • Confidentiality obligations survive termination


16. Updates and Modifications

16.1 Service Updates

We regularly update our AI capabilities and security measures. Material changes affecting HIPAA compliance will be communicated in advance.

16.2 Terms Changes

We may update these Terms with at least 30 days' notice for material changes. Continued use constitutes acceptance of updated Terms.


17. Governing Law and Disputes

17.1 Governing Law

These Terms are governed by the laws of New York, without regard to conflict of law principles.


17.2 Dispute Resolution

Disputes shall be resolved through binding arbitration, except for:

  • Claims related to intellectual property
  • Regulatory compliance matters
  • Breaches of confidentiality obligations


18. Regulatory and Compliance Acknowledgments

18.1 HIPAA Acknowledgment

You acknowledge that processing PHI through the Platform requires appropriate safeguards and authorizations under HIPAA.


18.2 Professional Standards

Use of AI Services does not diminish your professional obligations or standards of care as a healthcare provider.


18.3 Audit Cooperation

You agree to cooperate with regulatory audits or investigations related to your use of the Platform.

19.1 Security Incidents

In case of suspected security incidents involving PHI, immediately contact our security team at datasecurity@joyera.ai.


19.2 Platform Emergencies

For critical Platform issues affecting patient care, contact our emergency support line at emergency@joyera.ai.
